#ACUERDO CONFIDENCIAL DE NO DIVULGACION REGISTRATION#
Rule 144 Information The Company covenants that it will use its reasonable best efforts to timely file all reports and other documents required to be filed by it under the Securities Act and the Exchange Act and the rules and regulations promulgated by the SEC thereunder (or, if the Company is not required to file such reports, it will, upon the request of any Warrantholder, make publicly available such information as necessary to permit sales pursuant to Rule 144 under the Securities Act), and it will use reasonable best efforts to take such further action as any Warrantholder may reasonably request, in each case to the extent required from time to time to enable such holder to, if permitted by the terms of this Warrant and the Purchase Agreement, sell this Warrant without registration under the Securities Act within the limitation of the exemptions provided by (A) Rule 144 under the Securities Act, as such rule may be amended from time to time, or (B) any successor rule or regulation hereafter adopted by the SEC. El Cliente se compromete además a no hacer uso de la Información Confidencial de OTT Hydromet para su propio beneficio o en beneficio de terceros, que no sea para el cumplimiento de este Acuerdo. El Cliente se compromete a mantener en estricta confidencialidad la Información Confidencial de OTT Hydromet y se compromete a no divulgar dicha información a ninguna persona ya sea empleado, subcontratista o empleado subcontratista, a menos que dicha persona tenga la necesidad de tal conocimiento para el cumplimiento de este Acuerdo. La tecnología y arquitectura de HYDROMET CLOUD, las condiciones de este Acuerdo y cualquier otra información que llegue a posesión o conocimiento del Cliente en relación con los intereses de OTT Hydromet, incluyendo, entre otra, sus métodos, equipos, datos financieros o información de marketing y ventas (conjuntamente “Información Confidencial de OTT Hydromet”) consiste en la información confidencial y de propiedad de OTT Hydromet, sus filiales, licenciatarios o de terceros.
Sin perjuicio de lo anterior, OTT Hydromet puede retener los Datos del Cliente con el propósito de análisis e investigación y para agregarlos con los de otros clientes de OTT Hydromet para el análisis estadístico, tendencias u otros fines relacionados con la industria, siempre y cuando tal uso no dé lugar a la identificación del Cliente. OTT Hydromet se compromete a no hacer uso de los Datos del Cliente para su propio beneficio o en beneficio de terceros, que no sea para el cumplimiento de este Acuerdo.
OTT Hydromet reconoce que tendrá acceso a los Datos del Cliente en el curso de la prestación del servicio de HYDROMET CLOUD y se compromete a mantener en estricta confidencialidad razonable los Datos del Cliente y no divulgar o dar acceso a terceros a los Datos del Cliente a menos que dicha persona o entidad tenga la necesidad de dicho conocimiento para la prestación de Servicios en el cumplimiento de este Acuerdo. Los Datos del Cliente son información confidencial y de propiedad del Cliente.
